These Terms govern your use of Social Bid, including our marketplace, creator tools, Access Drops, bidding, purchases, live or virtual sessions, in-person experiences, verification, fulfillment, disputes, and payouts.
1. Acceptance and eligibility
By accessing or using Social Bid, you agree to these Terms and our Privacy Policy and Content Standards. You must be at least 18 years old and legally able to enter a binding agreement. Social Bid may require identity, age, payment, fraud, or eligibility verification before enabling specified features.
2. Accounts and verification
You must provide accurate, current information, safeguard your login credentials, and promptly update information that changes. Creator approval is discretionary and requires manual review. We may use Persona and other service providers to verify identity, age, document authenticity, liveness, fraud risk, account uniqueness, or eligibility. Passing a verification check does not guarantee creator approval or continued platform access.
3. The Social Bid marketplace
Social Bid is a marketplace where approved creators can offer time, expertise, live virtual sessions, and lawful in-person experiences as “Access Drops.” Fans may bid on or purchase eligible Access Drops. Creators control the experience they offer and their final listing terms, subject to platform rules. Social Bid may provide pricing or promotional guidance, but creators remain responsible for their listings and fulfillment commitments.
4. Creator obligations
Creators must accurately describe each Access Drop, disclose material limitations, provide lawful and safe fulfillment, possess all required rights and permissions, and communicate professionally. Creators must not misrepresent identity, audience, qualifications, availability, location, or the nature of an experience.
5. Bids, payments, fees, and payouts
Bids may be binding where stated. Charges, platform fees, bidder fees, taxes, payment authorization, refund eligibility, and payout timing are shown during the applicable transaction flow or in creator settings. Payment providers may impose additional terms. Creator payouts may be held until required identity checks, fulfillment evidence, completion confirmation, dispute windows, and risk reviews are satisfied.
6. Fulfillment, safety, and disputes
Participants must follow scheduling, check-in, conduct, location, and completion requirements. Never participate in an experience that appears unlawful or unsafe. Social Bid may request messages, attendance records, check-in information, or other evidence when reviewing a dispute. We may issue refunds, deny or delay payouts, cancel an Access Drop, or restrict an account based on the available evidence and applicable law.
7. Prohibited content and conduct
Adult content and sexual services are prohibited. Social Bid does not permit pornography, nudity intended for sexual gratification, explicit sexual content, escorting, prostitution, paid sexual contact, sexualized live performances, fetish services, trafficking, exploitation, non-consensual intimate imagery, or any sexual content involving minors. Access Drops may never promise or imply sexual activity. See the complete Content Standards.
Users also may not engage in fraud, harassment, threats, hate, illegal activity, dangerous conduct, intellectual-property infringement, payment manipulation, impersonation, unauthorized scraping, security interference, or attempts to evade enforcement.
8. User content and platform license
You retain ownership of content you submit. You grant Social Bid a non-exclusive, worldwide, royalty-free license to host, reproduce, format, display, distribute, and promote that content as needed to operate, secure, and market the platform and the relevant Access Drop. You represent that you have all rights required to submit the content.
9. Suspension and termination
We may reject an application, remove content, pause transactions or payouts, suspend features, or terminate access when we reasonably believe these Terms, our policies, another person’s rights, or applicable law may have been violated. Serious safety, fraud, exploitation, or sexual-content violations may result in immediate removal and referral to appropriate authorities.
10. Disclaimers
Social Bid provides a marketplace and supporting technology. Except where expressly stated, Social Bid is not the creator, host, venue, employer, agent, or insurer of an Access Drop. Services are provided “as is” and “as available” to the extent permitted by law. We do not guarantee demand, earnings, bids, availability, compatibility, or any particular outcome.
11. Limitation of liability
To the maximum extent permitted by law, Social Bid and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or opportunities arising from use of the platform. Nothing in these Terms excludes liability that cannot legally be excluded.
12. Indemnification
You agree to defend and indemnify Social Bid and its affiliates from claims, losses, liabilities, and reasonable expenses arising from your content, Access Drops, conduct, breach of these Terms, or violation of another person’s rights or applicable law.
13. Governing law and changes
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. We may update these Terms as the platform evolves. Material changes will be posted with an updated effective date, and continued use after the effective date constitutes acceptance where permitted by law.
